1. Purpose of the contract
These Affiliate Program Terms define the conditions of the ChessFlare Affiliate Program, offered by ANAKYOS, a French simplified joint-stock company (SAS), SIREN 108 753 716 (hereinafter the "Publisher").
The ChessFlare Affiliate Program allows any natural or legal person (the "Affiliate") to promote ChessFlare subscriptions and earn commissions on sales generated via their unique referral link or referral code. By joining the program, the Affiliate acknowledges having read, understood and accepted the entirety of these Affiliate Program Terms, which supplement the main Terms of Service.
2. Status of the Affiliate
The Affiliate acts as an independent party, without any relationship of subordination with ChessFlare. This contract does not constitute:
- a contract of employment,
- a commercial agency or mandate,
- a legal partnership or joint venture,
- or any other representation agreement.
The Affiliate is solely responsible for organising their own activity and remains independent from ChessFlare at all times.
3. Tax obligations and annual summary
The Affiliate remains solely responsible for declaring and paying any taxes, social contributions or other mandatory charges that may apply to the commissions received, in accordance with the laws and regulations of their country of residence or establishment. ChessFlare does not provide tax, accounting or legal advice.
For information and convenience only, ChessFlare generates an annual summary of commissions in PDF format, made available in the Affiliate dashboard. This document is a reporting aid and does not replace the Affiliate's own accounting or legal obligations. It is the Affiliate's responsibility to verify the information and to use it, or not, in the context of their own tax returns.
4. Eligibility and registration
The program is open to:
- individuals (without business registration),
- self‑employed / micro‑entrepreneurs,
- companies.
Opening a Stripe Connect (Express) account is mandatory in order to receive commissions. Stripe may request and process data such as:
- full name,
- address, date of birth,
- IBAN / bank details,
- identity document.
ChessFlare does not store identity documents: all KYC checks and banking data are handled directly by Stripe. ChessFlare reserves the right to accept or refuse access to the Affiliate Program at its sole discretion.
5. Attribution of sales
A sale is attributed to the Affiliate when all of the following conditions are met:
- the user has clicked on a valid affiliate link or used a valid referral code,
- the payment has been successfully completed through Stripe Managed Payments, the Apple App Store or Google Play,
- the purchase has been attributed using the data available from the relevant provider and, for mobile purchases, RevenueCat,
- the refund or chargeback period has expired without dispute.
ChessFlare may cancel or adjust a commission in particular in cases of:
- fraud or abuse,
- chargeback or refund,
- payments deemed invalid by the relevant payment provider, store or our anti-fraud systems.
6. Commission and payments
6.1 Amount and variation of the commission rate
The commission rate or fixed amount applicable to each product or subscription is displayed in the Affiliate dashboard. ChessFlare may modify the commission rate at any time, temporarily or permanently, with application only to future sales. The Affiliate acknowledges that rates may evolve in particular depending on:
- promotional campaigns,
- changes in commercial strategy,
- special offers,
- internal modifications of ChessFlare's pricing or products.
Unless expressly stated otherwise in the Affiliate dashboard, commissions are calculated on the net amount actually received by ChessFlare for the relevant transaction (the "Net ChessFlare amount"), after deduction of merchant-of-record or app-store fees (Stripe Managed Payments, Apple or Google), applicable taxes, refunds, chargebacks, currency conversion fees and other payment processing costs, and not on the total amount paid by the end user.
6.2 One‑off commission (monthly, yearly, lifetime)
Commissions are paid only once for each subscription, according to its type:
- Monthly subscription→ commission only on the first month(on the Net ChessFlare amount of that first payment).
- Yearly subscription→ commission only on the first year.
- Lifetime offer→ commission paid onceat the time of purchase.
Renewals, subsequent months or years, extensions or any later payments for the same user and subscription do not generate additional commissions, unless expressly stated otherwise in the Affiliate dashboard.
6.3 Affiliate payouts via Stripe Connect
Commissions are paid exclusively via Stripe Connect to the Affiliate's connected account. ChessFlare does not execute manual bank transfers outside of Stripe Connect. Stripe Connect is used for affiliate onboarding, identity and compliance checks, bank details and the technical execution of payouts. This payout service is distinct from Stripe Managed Payments, which processes eligible end-user purchases on the ChessFlare website. ChessFlare's responsibility is limited to recording eligible commissions and instructing payouts through Stripe Connect.
6.4 Payment of commissions — Web sales
For eligible sales made through the ChessFlare website, Sold through Link, LLC acts as merchant of record through Stripe Managed Payments and handles payment collection, applicable indirect taxes, disputes and transaction support.
- commissions validated for a given calendar month are generally paid once per month, between the 1st and the 10thof the following month;
- a minimum payout threshold (for example 50 €) may be required before a payout is initiated;
- commissions are due only on Net ChessFlare amounts effectively collected and cleared (excluding taxes, refunds, chargebacks and rejected payments).
6.5 Payment of commissions — Mobile sales
Purchases made through the iOS or Android application are processed by the Apple App Store or Google Play. RevenueCat validates purchase information and synchronises subscription status for attribution and entitlement purposes, but it does not process the end user's payment.
A mobile commission is calculated on the Net ChessFlare amount shown by the final store reports after deduction of applicable store commissions, fees, taxes, refunds, adjustments and currency-conversion costs. No fixed Apple or Google commission percentage or payment delay is guaranteed in these Terms; the rate and payment timetable shown in the Affiliate dashboard apply to the relevant transaction.
6.6 Refunds, chargebacks and disputes
In the event of any of the following:
- a refund of the sale (full or partial),
- a chargeback or reversal,
- a dispute or adjustment initiated by Stripe Managed Payments, Apple, Google or another payment provider,
- a cancellation of the subscription or sale.
no commission is due on the corresponding transaction. If a commission has already been paid, it may be deducted from future commissions payable to the Affiliate. This rule also applies to subscription renewals that are later refunded or cancelled.
7. Technical issues and payment delays
7.1 Provider or banking delays
In the event of an outage, maintenance, account freeze, API problem or bug affecting in particular:
- Stripe Managed Payments or Stripe Connect,
- the Apple App Store,
- Google Play,
- RevenueCat,
- banks or financial intermediaries,
- webhooks or the synchronisation of payment data,
the Publisher may postpone payments of commissions until the situation is fully resolved and the necessary data have been correctly synchronised.
7.2 No compensation for technical delays
In case of technical delay not attributable to the Publisher, the Publisher:
- is not responsible for the duration of the delay,
- does not owe any late‑payment interest or penalty,
- cannot be compelled to make manual bank transfers outside of Stripe Connect.
7.3 Payment once technically possible
Validated commissions will be paid as soon as reasonably and technically possible once the technical problem has been resolved and payment data have been properly received by ChessFlare.
8. Obligations of the Affiliate
The Affiliate agrees to:
- promote ChessFlare honestly and transparently,
- not use spam, misleading or aggressive methods,
- not generate artificial purchases or self‑referrals purely to earn commissions,
- not violate advertising rules (for example, bidding on the "ChessFlare" keyword in ads without authorisation),
- comply with all applicable laws and regulations in their country.
Any fraudulent or abusive behaviour may lead to immediate suspension of the affiliate account and cancellation of pending commissions.
9. Tax obligations of the Affiliate
The Affiliate is solely responsible for declaring and paying any taxes, social contributions or other obligations related to the commissions received. Depending on their status, affiliate income may in particular be treated as:
- non‑commercial income for individuals,
- turnover for micro‑entrepreneurs,
- business income for companies.
ChessFlare cannot be held liable for the Affiliate's failure to declare or pay taxes due on the commissions received.
10. DAS2
When ChessFlare pays more than 2,400 € per year to an Affiliate, French law may require a specific declaration (DAS2). Where applicable, ChessFlare will comply with this obligation. This declaration has no impact on how the Affiliate is taxed but may be used by the tax authorities to cross‑check information.
11. Term, suspension and termination
This contract is concluded for an indefinite term. The Affiliate may terminate their participation at any time by disconnecting their Stripe account or by contacting ChessFlare. ChessFlare may suspend or terminate an affiliate account, in particular in cases of:
- fraud or suspected fraud,
- non‑compliance with these Affiliate Program Terms or the main Terms of Service,
- misleading, harmful or illegal activity,
- or any other violation of this contract.
In the event of termination, only validated commissions accrued prior to the termination date and not affected by refunds or disputes will remain payable, in accordance with the applicable payment cycle for web sales through Stripe Managed Payments or mobile sales through Apple or Google.
12. Personal data (GDPR)
For the Affiliate Program, ChessFlare processes in particular the following data:
- name, surname and email address,
- affiliate identifier and referral code,
- history of sales and commissions linked to the Affiliate,
- Stripe Connect account identifier.
Bank details and identity documents required for payouts are handled directly by Stripe as an independent data controller or processor, in accordance with its own terms and privacy policy. ChessFlare does not store identity documents. The Affiliate has the right to access, rectify and delete their personal data under the conditions described in the ChessFlare Privacy Policy and applicable data protection laws (including GDPR).
13. Limitation of liability
ChessFlare does not guarantee any minimum income, any specific volume of sales, or any particular commercial performance. The Affiliate remains solely responsible for their promotional activity.
ChessFlare cannot be held liable for:
- errors, incidents or delays attributable to Stripe Managed Payments, Stripe Connect, Apple, Google or RevenueCat,
- banking delays or failures in payouts linked to account checks, freezes or suspensions,
- the suspension or closure of a relevant Stripe, Apple, Google or RevenueCat account or integration,
- technical outages, maintenance or bugs affecting payment platforms, webhooks or data synchronisation,
- the Affiliate's failure to comply with their tax or social obligations.
ChessFlare's responsibility is limited to correctly recording commissions according to these rules and handling product support within its control; transaction, refund, payout and banking operations remain subject to the relevant provider's role and terms.
14. Governing law
These Affiliate Program Terms are governed by French law. In the event of a dispute, the competent courts will be those of the registered office of the Publisher (without prejudice to any mandatory consumer protection provisions that may apply).
